Information on the AICD’s 2021 Annual General Meeting

    The AICD’s AGM will be held on 17 November 2021 as a virtual meeting.


    The AICD’s 2021 Annual General Meeting (AGM) will be held at 5.00pm (AEDT) on Wednesday 17 November 2021 as a virtual meeting. All members who are interested in joining the meeting are encouraged to attend.

    Members will be able to participate through a live webcast of the meeting, ask questions or make comments (online or by telephone) and vote online in real time using the platform provided by Link Market Services Limited (Link) at https://agmlive.link/AICD21 . Members who wish to vote ahead of the meeting can do so by proxy, as set out below. Information on how to participate in the AGM or to submit questions prior to the meeting is included in our Notice of Meeting and on our website.

    At the meeting, members will be asked to consider the adoption of a new constitution. The Notice of Meeting provides further information regarding the proposed constitution, including a summary of the key changes between the proposed constitution and the current Constitution of the AICD.

    Notice of Meeting and Appointing a Proxy

    On 22 October 2021, an email from the AICD with the Notice of Meeting and a personalised link to appoint a proxy online was sent to members by Link. Printed documents were posted to members who had advised their preference for printed materials.

    If you are unable to attend the meeting, you can submit your proxy vote online or by post by 5.00pm on Monday 15 November 2021. If you are having difficulty locating the AGM email (which may have been diverted to your Junk Email or Spam folder) and would like it to be re-sent, please email aicd@linkmarketservices.com.au.

    New Constitution

    As an organisation whose vision is to strengthen society through world class governance, it is important that the AICD’s own governance documentation is fit for purpose and reflects good governance practices.

    While the AICD’s current Constitution was last amended in 2016, it has not been comprehensively reviewed for many years. We engaged Gilbert + Tobin in early 2021 to prepare a new draft constitution that does not alter the basic structure of the AICD but is appropriately modernised and, amongst other changes, now reflects the registration of the AICD under the Australian Charities and Not-for profits Commission Act 2012 (Cth).

    The draft constitution was subject to a consultation process, with detailed and thoughtful comments and suggestions provided by Division Councils and members in June and July 2021. Members who responded overwhelmingly endorsed the initiative to modernise and simplify the constitution. The feedback received has been taken into account in updating the draft constitution for consideration by members.
