This is an opportunity for you to enhance your understanding of the evolving landscape surrounding directors' duties and the potential ramifications of non-compliance.

Tim Bednall, Head of Governance at Mallesons and a panel of Mallesons lawyers will analyse key judgments and proceedings against directors in Australian courts and tribunals, including proceedings instigated by ASIC and WHS regulators.  They will discuss:

  • Various breaches of directors' duties under the Corporations Act 2001 (Cth), with a particular emphasis on the duty of care and diligence, and continuous disclosure breaches.
  • ASIC's intensified focus on continuous disclosure obligations.
  • The significant consequences that can arise from a finding of a breach of these duties.

You will gain valuable insights into how the evolving expectations around directors' duties impact the role and obligations of directors. Further information can be found  in Mallesons’ Oversight publication.
