Direct Debit Services Agreement

All AICD members are bound by our Constitution, By-Laws and Code of Conduct in force from time to time.

    This is your Direct Debit Service Agreement with the Australian Institute of Company Directors (AICD), ABN 11 008 484 197, user ID: 53894. It explains what your obligations are when undertaking a Direct Debit arrangement with us. It also details what our obligations are to you as your Direct Debit provider.


    Please keep this agreement for future reference. It forms part of the terms and conditions of your Direct Debit Request (DDR) and should be read in conjunction with your DDR authorisation.

    1) By agreeing to the Direct Debit Request you authorise Stripe to arrange for funds to be debited from your nominated financial institution account (the "nominated account"). Stripe is acting as an agent for the AICD and Stripe does not provide any goods or services to you.

    2) Stripe or the AICD will give you at least 14 days notice in writing of any changes to the terms of the drawing arrangements.

    3) Stripe will keep information relating to your nominated account confidential in accordance with Stripe’s privacy policy, except where required for the purposes of conducting direct debits with your financial institution. Your personal information will be transferred by Stripe to the United States. If you do not want to provide your personal information to Stripe in connection with the Direct Debit Request, Stripe will not be able to debit your nominated account.

    4) Where the due date is not a business day Stripe will draw from your nominated financial institution account on the next business day.

    5) It is your responsibility to:

    1. Ensure your nominated account can accept direct debits;
    2. Ensure that there are sufficient clear funds available in the nominated account to meet each drawing on the due date;
    3. Advise immediately if the nominated account is transferred or closed or your account details change;
    4. Arrange a suitable payment method if Stripe or the AICD cancels the drawing arrangements;
    5. Ensure that all authorised signatories nominated on the financial institution account to be debited authorise the Direct Debit Request;
    6. Ensure that your nominated account details provided to the AICD are correct by checking them against a recent account statement of that nominated account;
    7. Check with your financial institution before completing the Direct Debit request if you have any queries about how to complete the Direct Debit Request;
    8. Check your account statement to verify that the amounts debited from your account are correct.

    6) Subject to the terms and conditions of your nominated financial institution account and your agreement with the AICD, you may alter the drawing arrangements. Such advice should be received by the AICD at least 7 business days prior to the drawing date (by telephoning us on 1300 363 485 during business hours or emailing us at renewal@aicd.com.au) for any of the following:

    1. Changing your nominated account number (for this, you may also arrange the change through your own financial institution, which is required to act promptly on your instruction)
    2. Deferring a drawing
    3. Altering a DDR schedule
    4. Cancelling the drawings completely

    If you require further information, please contact the AICD directly on by phone 1300 363 485 (during business hours) or email renewal@aicd.com.au and confirm that notice in writing with us as soon as possible so that we can resolve your query more quickly. Alternatively, you can also contact your financial institution.

    7) If you believe that there has been an error in debiting your account, you should notify the AICD by phone 1300 363 485 or email renewal@aicd.com.au and confirm that notice in writing with us as soon as possible so that we can resolve your query more quickly. The AICD will notify you in writing of its determination and the amount of any adjustment that will be made to your nominated account (if any). Stripe will arrange for your financial institution to adjust your nominated account by the applicable amount (if any). Alternatively, you can also contact your financial institution.

    8) The details of your drawing arrangements are contained in the above Direct Debit Request.

    9) Stripe reserves the right to cancel the drawing arrangements if three consecutive drawings are dishonoured by your financial institution, and for the AICD to arrange with you an alternative payment method. Please refer to the terms and conditions of your nominated financial institution account to see whether dishonour fees apply.

    10) You acknowledge and agree that if there are insufficient clear funds in your account to meet a debit payment:

    • a) you may be charged a fee and/or interest by your financial institution;
    • b) you may also incur fees or charges imposed or incurred by us; and
    • c) you must arrange for the debit payment to be made by another method or arrange for sufficient clear funds to be in your account by an agreed time so that we can process the debit payment.

    11) Confidentiality

    • a) We will keep any information (including your account details) in your Direct Debit Request confidential. We will make reasonable efforts to keep any such information that we have about you secure and to ensure that any of our employees or agents who have access to information about you do not make any unauthorised use, modification, reproduction or disclosure of that information.
    • b) We will only disclose information that we have about you:
      • to the extent specifically required by law; or
      • for the purposes of this agreement (including disclosing information in connection with any query or claim).

    12) Notices

    • a) If you wish to notify us in writing about anything relating to this agreement, you should write to:

    • b) We may send notices either electronically to your email address or by ordinary post to the address you have given us.
    • c) If sent by mail, communications are taken to be received on the day they would be received in the ordinary course of post.

    13) Renewal of your AICD Membership is subject to:

    • a) successful processing of your debit payment;
    • b) completion of your renewal declaration; and
    • c) the Membership Terms and Conditions.

    14) Definitions:

    • a) account means the account held at your financial institution from which we are authorised to arrange for funds to be debited.
    • b) agreement means this Direct Debit Request Service Agreement between you and us.
    • c) banking day means a day other than a Saturday or a Sunday or a public holiday listed throughout Australia.
    • d) debit day means the day that payment by you to us is due.
    • e) debit payment means a particular transaction where a debit is made.
    • f) direct debit request means the Direct Debit Request between us and you.
    • g) us or we means AICD, (the Debit User) you have authorised by requesting a Direct Debit Request.
    • h) you means the customer who has signed or authorised by other means the Direct Debit Request.
    • i) your financial institution means the financial institution nominated by you on the DDR at which the account is maintained.
